Supplier Code of Conduct
- Purpose

This Supplier Code of Conduct outlines the expectations mtc places on its suppliers, subcontractors, and business partners. All suppliers are expected to operate ethically, lawfully, and in a manner that reflects our commitment to integrity, human rights, sustainability, and compliance with Japanese and international regulations.
- Compliance with Laws and Regulations

Suppliers must comply with all applicable local and international laws, rules, and regulations, including but not limited to labor laws, environmental laws, privacy regulations, and trade compliance requirements in Japan and any country in which they operate.
- Human Rights and Labor Practices

Suppliers must respect and uphold the rights of workers and must not engage in forced labor, bonded labor, child labor, or human trafficking. All work must be voluntary, and workers must be of legal working age as defined by local law.
Suppliers shall provide fair wages, reasonable working hours, safe working conditions, and a workplace free from discrimination, harassment, or abuse.
- Health and Safety

Suppliers must provide a safe and healthy working environment, taking steps to prevent accidents and injuries. Appropriate personal protective equipment (PPE), safety protocols, and emergency procedures must be in place and followed.
- Environmental Responsibility

Suppliers must comply with all applicable environmental laws and strive to minimize environmental impact through responsible waste management, energy use, and material sourcing. Environmental considerations should be part of operational decision-making and continuous improvement.
- Ethical Business Conduct

Suppliers must operate with integrity and transparency. All forms of bribery, corruption, extortion, and embezzlement are strictly prohibited. Suppliers shall not offer or accept any gift or incentive intended to improperly influence a business decision involving mtc or its clients.
- Data Privacy and Confidentiality

Suppliers must protect all confidential information shared by mtc or its clients, and must not misuse or disclose such information without proper authorization. Suppliers shall implement appropriate data protection measures in line with local regulations and best practices.
- Subcontracting and Transparency

Suppliers must not engage in unauthorized subcontracting of work for mtc projects. Any subcontractor used must meet the same ethical, legal, and technical standards outlined in this Code of Conduct. mtc reserves the right to approve or reject subcontractors as needed.
- Monitoring and Enforcement

mtc reserves the right to assess supplier compliance with this Code of Conduct through reasonable means, including documentation reviews or on-site visits when appropriate. Failure to comply may result in corrective action, suspension, or termination of the business relationship.
- Reporting Concerns

Suppliers are encouraged to report any concerns about non-compliance, unethical behavior, or violations of this Code. Reports may be made confidentially to mtc’s management. Retaliation against individuals who report concerns in good faith will not be tolerated.
